License Agreement (EULA)

Effective Date: June 29, 2026

This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“Licensee”, “User”, “Customer”, or “you”) and NCB Software (“NCB Software”, “we”, “our”, or “us”) governing the installation, activation, access, and use of our software products, including but not limited to WordPress plugins, updates, documentation, and related digital services.

By downloading, installing, activating, purchasing, or using any NCB Software product, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree with these terms, you must not install, activate, or use the software.


License Grant

Subject to your compliance with this Agreement and any applicable license purchased through an authorized reseller or payment provider, NCB Software grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the software solely for its intended purpose.

This license grants only the right to use the software and does not transfer ownership of the software or any intellectual property rights.


Ownership

The software is licensed, not sold.

NCB Software retains all worldwide rights, title, and interest in and to the software, including:

  • Source code
  • Object code
  • Algorithms
  • Documentation
  • User interface
  • Graphics
  • Logos
  • Trademarks
  • Updates
  • Improvements
  • Intellectual property rights

No ownership rights are transferred to the Licensee.


Permitted Use

You may:

  • Install the software on the number of websites permitted by your purchased license.
  • Receive software updates during the active license period, where applicable.
  • Receive technical support according to your license entitlement.
  • Create backup copies solely for archival purposes.

License Restrictions

Unless expressly permitted in writing by NCB Software, you may not:

  • Copy the software except for legitimate backup purposes.
  • Modify or create derivative works.
  • Reverse engineer, decompile, or disassemble the software.
  • Remove copyright notices or branding.
  • Circumvent licensing or activation systems.
  • Resell, sublicense, rent, lease, or distribute the software.
  • Share license keys with third parties.
  • Use the software in any unlawful manner.
  • Use the software to develop competing products based upon substantial portions of our work.

Any unauthorized use immediately terminates the granted license.


License Activation

Certain products require online activation and periodic license validation.

License verification may include limited technical information necessary to:

  • Validate your license.
  • Verify update eligibility.
  • Detect fraudulent or unauthorized usage.
  • Protect the integrity of our licensing infrastructure.

No unnecessary personal information is collected during this process.


Software Updates

NCB Software may provide:

  • Security updates.
  • Bug fixes.
  • Performance improvements.
  • Compatibility updates.
  • New features.

We reserve the right to modify, discontinue, or replace any feature without prior notice.

Updates may require an active license.


Technical Support

Support services are provided only to eligible licensed users.

Support is limited to issues directly related to the intended functionality of our software.

Support does not include:

  • Custom programming.
  • Website design.
  • Server administration.
  • Third-party plugin troubleshooting.
  • WordPress customization.
  • Training services.

NCB Software reserves the right to determine whether a support request falls within the scope of standard support.


Third-Party Software

Our products are designed to operate within the WordPress ecosystem and may interact with third-party plugins, themes, APIs, hosting environments, and external services.

NCB Software does not guarantee compatibility with every third-party product, nor are we responsible for issues caused by software outside our control.

Future updates to WordPress or third-party software may affect compatibility.


Open Source Components

Some products may include or interact with third-party open-source software distributed under their respective licenses.

Nothing in this Agreement replaces or limits any rights granted under those licenses.


Disclaimer of Warranties

The software is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

To the fullest extent permitted by law, NCB Software expressly disclaims all warranties, including but not limited to:

  • Merchantability.
  • Fitness for a particular purpose.
  • Non-infringement.
  • Compatibility.
  • Continuous availability.
  • Accuracy.
  • Reliability.
  • Error-free operation.

You assume all risks associated with installing and using the software.


Limitation of Liability

To the maximum extent permitted by applicable law, NCB Software shall not be liable for any:

  • Loss of profits.
  • Loss of revenue.
  • Business interruption.
  • Loss of business opportunities.
  • Data corruption.
  • Data loss.
  • Security incidents.
  • Hardware failures.
  • Software conflicts.
  • Website downtime.
  • Indirect, incidental, consequential, exemplary, or punitive damages.

Regardless of the legal theory asserted, the total cumulative liability of NCB Software shall never exceed the amount actually paid by you for the specific software license giving rise to the claim.


User Responsibility

The Licensee is solely responsible for:

  • Maintaining backups.
  • Testing software before deployment.
  • Ensuring server compatibility.
  • Keeping WordPress updated.
  • Maintaining website security.
  • Verifying software compatibility before installation.

NCB Software strongly recommends testing all software on a staging environment before deploying it to a production website.


Termination

This Agreement automatically terminates if you violate any provision contained herein.

Upon termination, you must immediately:

  • Stop using the software.
  • Remove all installed copies.
  • Destroy any copies in your possession.
  • Cease all further use of license keys.

Termination does not affect any legal rights or remedies available to NCB Software.


Reservation of Rights

All rights not expressly granted under this Agreement are reserved exclusively by NCB Software.

No implied licenses shall be granted.


Governing Law

This Agreement shall be governed by and interpreted in accordance with the applicable laws governing NCB Software, without regard to conflict of law principles.

Any legal dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over NCB Software, unless mandatory law provides otherwise.


Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.


Entire Agreement

This Agreement, together with our Privacy Policy, Terms of Service, Refund Policy, and any applicable licensing terms, constitutes the entire agreement between you and NCB Software regarding the use of the software.


Changes to this Agreement

NCB Software reserves the right to amend this EULA at any time.

Revised versions become effective immediately upon publication unless otherwise stated.

Your continued use of the software following any update constitutes acceptance of the revised Agreement.
